Terms of Service

Please read these Terms of Service carefully before using the Rioxly platform. These Terms govern your access to and use of our services.

Paddle — Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

1. Acceptance of Terms

By accessing or using the Rioxly platform and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services. Please read them carefully.

2. Description of Services

Rioxly provides a cloud-based platform for restaurants, cafés, food trucks, and similar businesses to manage menus, online ordering, reservations, customer relationships, and related business operations.

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.

3. Account Registration

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately at support@rioxly.com of any unauthorised use of your account.

4. Subscription, Billing & Paddle

Some of our Services are offered on a subscription basis. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

When you purchase a subscription, your payment is processed by Paddle (Paddle.com Market Ltd for customers outside the USA, or Paddle.com Inc for customers in the USA) acting as our Merchant of Record. Paddle is the legal seller of the subscription. By completing a purchase, you agree to Paddle's Terms of Use (https://www.paddle.com/legal/terms) and Privacy Policy (https://www.paddle.com/legal/privacy) in addition to these Terms.

Rioxly does not directly collect, store, or process your payment card details. All payment information is handled securely by Paddle, which is PCI DSS compliant.

You agree to pay all fees associated with the subscription plan you select. Subscription fees are billed on a recurring basis (monthly or annually, depending on the plan selected). You will be charged at the beginning of each billing cycle.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price changes take effect for existing subscribers.

5. Free Trial

We may offer a free trial period for certain subscription plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial period ends.

We will clearly display the subscription amount and billing date before the trial converts to a paid plan, and you will have the opportunity to cancel at any time.

6. Refunds & Cancellations

You may cancel your subscription at any time through your account dashboard or by contacting our support team at support@rioxly.com.

Since Paddle is the Merchant of Record for all purchases, refund requests are handled by Paddle in accordance with their refund policy. To request a refund, please contact Paddle's support team or reach out to us at support@rioxly.com and we will assist in facilitating the process.

Refund eligibility: • Subscriptions cancelled within 14 days of initial purchase may be eligible for a full refund. • After 14 days, cancellations will take effect at the end of the current billing period. No partial refunds will be issued for the remaining days in a billing cycle. • Refunds for annual plans will be considered on a case-by-case basis.

Rioxly reserves the right to modify the refund policy. Any changes will be communicated in advance.

7. Acceptable Use

You agree not to use the Services to: • Violate any applicable law or regulation • Infringe the intellectual property rights of others • Transmit spam or unsolicited commercial communications • Introduce malware, viruses, or other harmful code • Attempt to gain unauthorised access to any part of the Services • Engage in any activity that interferes with or disrupts the Services • Misrepresent products or pricing to your customers using the platform • Engage in fraudulent chargebacks or payment disputes

8. Your Responsibilities as a Merchant

If you use Rioxly to operate a restaurant or food-service business, you are responsible for: • Ensuring the accuracy of your menu items, descriptions, and pricing • Complying with all applicable food safety, licensing, and health regulations • Fulfilling orders placed through your Rioxly-powered website in a timely manner • Providing adequate customer support to your own customers • Clearly displaying your business contact information on your public site • Ensuring that your customers understand what they are purchasing and the total amount they are committing to

9. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Rioxly and its licensors. Our trademarks may not be used in connection with any product or service without prior written consent.

You retain full ownership of all content you submit, post, or display on or through the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, and display such content solely for the purpose of providing the Services.

10. AI-Generated Content

Rioxly uses artificial intelligence to generate content such as menu descriptions, taglines, images, and SEO metadata. While we strive for accuracy and quality, AI-generated content is provided "as is" and may contain errors.

You are solely responsible for reviewing, editing, and approving all AI-generated content before it is published on your site. Rioxly is not liable for any inaccuracies in AI-generated content.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Rioxly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Services.

Rioxly is not responsible for any issues arising from the payment processing services provided by Paddle, including but not limited to payment failures, disputed charges, or refund processing delays. For payment-related issues, please contact Paddle directly.

12. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

13. Indemnification

You agree to defend, indemnify, and hold harmless Rioxly, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Rioxly operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.

Purchases processed through Paddle are additionally subject to Paddle's Terms of Use and the laws governing Paddle's operations.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

For material changes, we will provide at least 14 days' notice via email or a prominent notice within the Services.
